Procurement Process

it911now.com is a Managed Service Provider (MSP) and therefore in most cases does not house or store any of the products or services except for technicians and some tools to provide you your "Remote" and "in-person" service(s).

Our "Procurement Process" now includes a “Quote” that serves as a notice of your needed or requested service when obtaining Goods and Services from it911now.com and its affiliates. Our Procurement Process includes but is not limited to the process of finding the item(s ) and or services you are in need of or inquiring about and agreeing to those terms, and the fact it911now.com is acquiring those goods, services, or works from internal and external sources for you, often via a tendering or competitive negotiation process with those external sources requires that you accept those "Quotes" prior to rendering those items or services.
This Procurement Process now involves you accepting a "Quote" using this platform sent only to the authorized decision-maker that is tailored to your item(s) before we provide those items or services during your buying decisions under this process addition. Verbal acceptances only will no longer be sufficient during your purchasing experience with it911now.com.

Account Setup / Email on file

We will set up your account after we have received payment and we and/or our payment partner(s) have screened the order(s) in case of fraud. It is your responsibility to provide us with an email address that is not @ the domain(s) you are signing up under. If there is ever an abuse issue or we need to contact you, the primary email address on file will be used for this purpose. It is your responsibility to ensure the email address on file is current or up to date always. If you have a domain name registered with It911now.com, it is your responsibility to ensure that the contact information for your domain account and your actual domain name(s) is correct and up-to-date. It911now.com is not responsible for a lapsed registration due to outdated contact information being associated with the domain. If you need to verify or change this information, you should contact our sales team via email. Providing false contact information of any kind may result in the termination of your account. In dedicated server purchases or high-risk transactions, it will be necessary to provide government-issued identification and possibly a scan of the credit card used for the purchase. If you fail to meet these requirements, the order may be considered fraudulent in nature and be denied.

Ownership

The credit cardholder or owner of the PayPal e-mail address that is utilized for payment on the account is designated as the authorized owner of the account. This applies to all accounts. This applies to all your service agreement(s) and your website(s) if we host it.

Services

It911now.com May Discontinue the Services. It911now.com may choose to modify or discontinue the Services, including any portions of the Services as we update our offerings and add more features. We may stop, suspend, or modify the Services at any time without prior notice to you.

Certain Restrictions

The rights granted to you in the Terms are subject to the following restrictions: You may not (i) copy, modify, host, sublicense or resell the Services; (ii) frame or utilize framing techniques to enclose any trademark, logo, or other It911now.com Properties (including images, text, page layout or form) of It911now.com; (iii) use meta tags or other “hidden text” using It911now.com’s name or trademarks; (iv) modify, translate, adapt, merge, make derivative works of, disassemble, De-compile, reverse compile or reverse engineer any part of the It911now.com Properties except to the extent the foregoing restrictions are expressly prohibited by applicable law; (v) use any manual or automated software devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from any web pages contained in the Site (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials; (vi) access the It911now.com Properties in order to build a similar or competitive website, application or services; (vii) remove or destroy any copyright notices or other proprietary markings contained on or in the It911now.com Properties; (viii) access or attempt the access the Services by any means other than what It911now.com provides or expressly allows; (ix) modify, adapt or hack the Services or modify another website so as to falsely imply that it is associated with the Services, It911now.com, or any other It911now.com service; (x) reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services, without the express written permission by It911now.com; (xi) transmit any worms or viruses or any code of a destructive nature; or circumvent any use restrictions put into place to prevent certain uses of the Services; (xii) violate any intellectual property right of any third party or behave in a manner that is unlawful, or otherwise in violation of our Community Guidelines; (xiii) misrepresent your affiliation with a person or entity; (xiv) attempt to disable, impair, or destroy the Services or disrupt or inhibit any other user from using the Services; (xv) market or advertise through the Services; (xvi) use any data mining or similar data gathering and extraction methods in connection with the Services; or (xvii) use the It911now.com Properties to violate any applicable law.

Free Trials and Other Promotions

Any free trial or other promotion that provides you with free access to Commercial Services (defined below) must be used within the specified time of the trial. At the end of the trial period, your use of that Commercial Service will expire, and any further use of such Commercial Service is prohibited unless you pay the applicable fees.

Availability of the Services

Information describing the Services is accessible worldwide, but this does not mean the Services or certain portions of the Services are available in your country. We may restrict access to portions of the Services in certain countries. It is your responsibility to make sure your use of the Services is legal in the country where you reside. The Services may not be available in all languages. If at It911now.com’s reasonable determination, you are using the It911now.com Properties in a manner that violates laws, creates an excessive burden or potential adverse impact on It911now.com’s systems, in addition to any of its other rights or remedies, It911now.com may, without liability to It911now.com, immediately suspend your access to the It911now.com Properties.

Your Data

Use of the Services may depend on your transmission of certain data (your “Data”). You retain all rights and ownership in your Data. We do not claim any ownership rights in your Data, except detailed reports of your network(s) that we provide to you for improvement or informational purpose(s). You represent and warrant that you have the necessary rights and licenses required to provide your Data to It911now.com in connection with your use of the Services and that by providing your Data in this manner, you will not violate any intellectual property rights of third parties, confidential relationships, contractual obligations or laws. Without limiting the generality of the foregoing, you shall provide all notices to, and obtain any consents from, any data subject as required by any applicable law, rule or regulation in connection with the processing of any personally identifiable information of such data subjects via the Services by It911now.com and/or you. You shall be solely responsible for ensuring that any processing of Data by It911now.com and/or you via the Services does not violate any applicable laws. You shall not process or submit to the Services any Data that includes any: (i) “personal health information,” as defined under the Health Insurance Portability and Accountability Act, unless it enters into a separate agreement with It911now.com relating to the processing of such data; (ii) government-issued identification numbers, including Social Security numbers, driver’s license numbers and other state-issued identification numbers; (iii) financial account information, including bank account numbers; (iv) payment card data, including credit card or debit card numbers; or (iv) “sensitive” personal data, as defined under Directive 95/46/EC of the European Parliament (“EU Directive”) and any national laws adopted pursuant to the EU Directive, about residents of Switzerland and any member country of the European Union, including racial or ethnic origin, political opinions, religious beliefs, trade union membership, physical or mental health or condition, sexual life, or the commission or alleged commission any crime or offense. It911now.com is not responsible for any data of any type if is lost, deleted, or reformatted in any case. It is the sole responsibility of you, the Data Owner to make and keep multiple copies, and backups via physical or virtual backup in several locations. It is your responsibility to comply and adhere to a sound "Disaster Recovery Solution" provided to you by it911now.com or some other means of "DRS".

User Option to Encrypt

It911now.com provides you with the option to encrypt the transmission of your Data. You acknowledge that it is your responsibility to encrypt the transmission of your Data should you wish to protect it. In the event you decide not to utilize encryption and transmit your Data unencrypted over a network, you assume all related risks for doing so. It911now.com will not be liable for any liabilities arising from your use of the Services (including your transmission of Data) over the Internet or other networks.

Cancellations and Returns.

Service Cancellations:

Starting January 1, 2012, all customers who cancel or stop payment of their plan(s) will be charged an additional service fee for reactivating their account(s). You will be notified of the additional fee prior to receiving service. In addition, all monthly paying clients who have completed the required trial period, and who wish to cancel their monthly services are required to give written notice 5 days prior to their next scheduled monthly payment. If you fail to provide the written cancellation request within the 5-day requirement; you will be responsible for the entire amount of your normal monthly recurring payment. Once IT911now.com receives your cancellation letter via email or mail; a letter from IT911now.com will be sent out confirming the cancellation of the reoccurring process and your last valid date of service.

Please be aware that the "Plan A" carries a two-month payment minimum.

For example:
If you purchase a "Plan A" (SKU: A28R) 01/01/, you will be charged for a
"Plan A" (SKU: A28R) 02/01/2011 and any other monthly subscription product if you cancel your product anytime between 01/01/ and 02/01.
You will continue to have access to your service until 03/01 in this example.

Please be aware that the "Plan N" carries a three(3) month payment minimum.

For example:
If you purchase a "Plan N" (SKU: A31R) 01/01/, you will be charged for "Plan N" (SKU: A31R) and any other monthly subscription product until the 03/01/2011 cancelation date if you cancel your product anytime between 01/01/ and 03/01.

You will however be able to continue to use the service until 03/01.

For example:
If you purchase any service call and a technician has been deployed to your location and does or does not perform your service(s), you may not cancel your credit or debit card or any other form of payment after they have arrived and done their job to avoid payment or to receive services free of charge. A refund can be given if you contact our corporate office we agree to refund your services first. Attempts to cancel payments and reversal of charges or notifying your bank of unauthorized or fraudulent charges may or will result in legal action against you and or the company. Please refer to our Legal Notice for more answers.

Our payment policy is to charge you for service before you use it to prevent you from accumulating a large bill.
Our Prices are broken up into these smaller prices in the hope that you will continue to use the service for a long time and not have to worry about running up a large bill if you miss a payment or some other reason.

You may return or cancel your product(s) or subscriptions if the services do not work or resolve your issue.
You MAY NOT purchase a less expensive "Plan A" (SKU: A28) product and cancel it to avoid paying for the correct plan "Plan A" (SKU: A42ot) for onetime use product and cancel it to avoid paying for the correct plan Plan A (SKU: A42ot) that you really needed.

User Option to Encrypt

Your It911now.com account provides you access to the It911now.com Community Forums and other public areas on the It911now.com Properties (collectively, the “Forums”). By accessing the Forums, you acknowledge that you are solely liable and responsible for how you use the Forums, as well as any damages that may result from the disclosure of your User Content. You also acknowledge that it is possible that you will be exposed to User Content from others that you may consider offensive, indecent, or otherwise objectionable. Views expressed on the Forums do not necessarily reflect It911now.com’s views. It911now.com does not endorse User Content posted by you or others. Misuse of Service or Device.

You agree not to misuse the Service or Device, including but not limited to, (a) reselling or re-billing our Service (b) using the Service or Device to engage in unlawful activity, or in conduct that adversely affects our customers, employees, business, or any other person(s), or that interferes with our operations, network, reputation, or ability to provide quality service, including but not limited to the generation or dissemination of viruses, malware or “denial of service” attacks (c) using the Service as a substitute or backup for private lines or dedicated data connections (d) tampering with or modifying your IT911now.com LLC software or hardware (e) "spamming" or engaging in other abusive or unsolicited communications, or any other mass, automated voice or data communication for commercial or marketing purposes. (f) reselling IT911now.com LLC software or hardware for profit, or tampering with, reprogramming, or altering IT911now.com LLC software or hardware for the purpose of reselling the IT911now.com LLC software or hardware (g) using the Service in connection with server devices or host computer applications, including continuous Web camera posts or broadcasts, automatic data feeds, automated machine-to-machine connections or peer-to-peer (P2P) file-sharing applications that are broadcast to multiple servers or recipients, “bots” or similar routines that could disrupt net user groups or email use by others or other applications that denigrate network capacity or functionality (h) accessing, or attempting to access without authority, the information, accounts or devices of others, or to penetrate, or attempt to penetrate, IT911now.com/s LLC or another entity(s) network or systems. (i) running software or other devices that maintain continuously active Internet connections when a computer(s)connection would otherwise be idle, or “keep-alive” functions (e.g. using a backup service to store pirated movies, songs, or other software for Web broadcasting, operating servers, telemetry devices and/or supervisory control and data acquisition devices) or (j) assisting or facilitating anyone else in any of the above activities. Unless authorized by IT911now.com LLC, you agree that you will not install, deploy, or use any regeneration equipment or similar mechanism (for example, a repeater) to originate, amplify, enhance, retransmit, or regenerate a transmitted signal of our service(s).

You agree that a violation of this section harms IT911now.com LLC, which cannot be fully redressed by money damages, and that IT911now.com LLC shall be entitled to immediate injunctive relief in addition to all other remedies available. It911now.com also agrees with this very agreement and promises to take every action within legal parameters to protect you and your valuable data. It911now.com will also notify you of any vulnerabilities that we discover so you to take proper actions to protect yourselves and us from these vulnerabilities. It911now.com is not responsible for any negligence that you are in violation of whether written or not in this agreement or your own handbook, "terms and conditions", "bylaws", or any form of state or legislative acts. We are acting as your IT department and will only be in your favor in such a manner. We do our best to keep your company or personal network as safe as possible and within your state or government jurisdiction. It911now.com and its employees will not knowingly perform any unlawful acts for any user or company. It911now.com's refusal to perform unlawful acts is not deemed as a breach or non-fulfillment of our duties to you or its customers.

Feedback

We appreciate your ideas, comments, suggestions, documents, and/or proposals (“Feedback”). You represent and warrant that you have all rights necessary to submit the Feedback and you hereby grant It911now.com a fully-paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sub-licensable right and license to use, reproduce, perform, display, distribute, adapt, modify, reformat, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback.

License to Your Content

You grant It911now.com a fully-paid, royalty-free, perpetual, irrevocable, worldwide, royalty-free, non-exclusive, and fully sub-licensable right (including any moral rights) and license to use, license, distribute, reproduce, modify, adapt, publicly perform, and publicly display, User Content (in whole or in part) for the purposes of operating and providing the Services to you. Please remember that other users may search for, see, use, modify, and reproduce any of the User Content that you submit to any Forum or other “public” areas of the It911now.com Properties. You warrant that the holder of any worldwide intellectual property right, including moral rights, in your User Content, has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You agree that you, not It911now.com, are responsible for all your “User Content”.

No Obligation to Pre-Screen User Content

You acknowledge that It911now.com has no obligation to pre-screen any information, data, text, software, music, sound, photographs, video, messages, tags, or other materials submitted by you or other users (“User Content”) posted or otherwise made available by users and accessible through the It911now.com Properties (“It911now.com Content”), although we reserve the right in our sole discretion to pre-screen, refuse or remove any User Content. By entering into the Terms, you provide your irrevocable consent to such monitoring. You acknowledge and agree that you have no expectation of privacy concerning the transmission of your User Content and that we reserve the right to remove any User Content that violates the Terms or is otherwise objectionable. In the event, that we pre-screen, refuse, or remove any User Content, you acknowledge that we will do so for our benefit, not yours.

Storage

Unless expressly agreed by It911now.com in writing elsewhere, we have no obligation to store any of the User Content that you upload, post, email, transmit, or otherwise make available on or through the It911now.com Properties. We have no responsibility or liability for the deletion or accuracy of any User Content, including the failure to store, transmit, or receive transmission of your User Content; or the security, privacy, storage, or transmission of other communications originating with or involving the use of the It911now.com Properties.

Support

Technical support is only provided to users of Commercial Services based on your specific purchased Service. If you are using the Service via a Lite account, It911now.com provides support via the Forums and access to It911now.com installation guides and other documentation related to the Service at www.it911now.com (“Documentation”).

Termination

We reserve the right to suspend or cease providing the It911now.com Properties or any portion of the It911now.com Properties, at any time, with or without cause, and with or without notice. We may suspend or terminate your use of the It911now.com Properties if you are not complying with these Terms, or if you use the Services in any way that could cause us legal liability or disrupt others’ use of the Services. If we suspend or terminate your use, we will try to let you know in advance. If you want to terminate the Services at any time, you may do so by (a) notifying It911now.com and (b) closing your account for the Services that you use. Your written notice should be sent to It911now.com’s address set forth in the Notice section below or to support@it911now.com

Effect of Termination

Termination of any Service includes removal of access to such Service and barring of further use of the Service. Termination of all Services also includes deletion of your password and all related information, files, and data associated with or inside your account, including your Data. Upon termination of any Service, your right to use such Service will automatically terminate immediately. You understand that any termination of Services may involve the deletion of your Data associated therewith from our live databases. It911now.com will not have any liability whatsoever to you for any suspension or termination, including for deletion of your Data. All provisions of these Terms, which by their nature should survive, shall survive termination of Services, including without limitation ownership provisions, warranty disclaimers, and limitations of liability.
